Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of https://www.kingdom24.in (the "Website"), and any B2B supply orders placed with Kingdom 24 Private Limited (CIN U55101UP2022PTC162049), trading as Kingdom Foods. By using the Website or placing an order, you agree to be bound by these Terms, our Privacy Policy, Payment Policy, Refund Policy and Shipping Policy, which together form the contract between us.

2. B2B Use Only

The Website and our products are intended exclusively for business buyers — Hotels, Restaurants, Cloud Kitchens, Caterers, QSRs, Distributors, Institutional canteens and similar commercial buyers. Products are sold for commercial preparation and resale within food-service operations and are not intended for direct consumer retail. Buyers represent that they hold valid FSSAI registration / license appropriate to their business.

3. Eligibility

You must be a representative of a registered business entity (proprietorship, partnership, LLP, private/public company, society, trust, HUF or government body), at least 18 years of age, with authority to bind your entity to these Terms.

4. Quotations & Orders

  • Prices on the Website are indicative B2B prices and subject to confirmation by our sales team via proforma invoice.
  • Pricing is subject to change with seven (7) days' written notice; orders accepted before a price change are honoured at the original quotation.
  • Quotations issued by us are valid for seven (7) days unless stated otherwise.
  • Orders are deemed accepted only upon issuance of our proforma invoice and realisation of payment (or sanction of credit terms).
  • We reserve the right to decline or partially fulfil any order based on stock availability, credit assessment or operational constraints.

5. Minimum Order Quantity

MOQ varies by SKU and is published on the product page or shared by sales. Standard category MOQs are listed in our Shipping Policy. We may waive MOQ for trial orders by new buyers at our discretion.

6. Pricing, Taxes & Invoicing

  • All prices are in INR, exclusive of GST and freight unless explicitly marked.
  • GST is charged at 5% / 12% / 18% per HSN code and added on the invoice.
  • Buyer's GSTIN must be provided at the time of order to enable Input Tax Credit. Without GSTIN, invoice is treated as B2C.
  • E-invoices and E-way bills are generated as per CBIC notifications, where applicable.
  • Invoices are issued in the name of the buyer entity that places the order. Re-issuance to a different name is not entertained.

7. Payment Terms

See our Payment Policy. Credit terms are extended only by separate written agreement after credit assessment. Late payments attract interest at 1.5% per month (18% p.a.) in line with the MSMED Act, 2006 where applicable.

8. Title & Risk

Title to goods passes to the buyer upon full payment. Risk in goods passes to the buyer upon handover to the buyer or the buyer's agent (including the courier nominated by either party) at the dispatch point. Insurance, if required for high-value consignments, is the buyer's responsibility unless explicitly arranged by us.

9. Quality, Storage & Use

  • Products must be stored at the temperature noted on the pack (typically -18°C or below for frozen items).
  • Buyer is responsible for hygienic regeneration / cooking and serving in line with FSSAI standards applicable to their category.
  • Best-before / use-by dates printed on packs are to be honoured strictly.
  • Kingdom Foods is not liable for product quality once the cold chain is broken at the buyer's premises.

10. Intellectual Property

All content on the Website — including the Kingdom Foods name, trade dress, logo, product names, recipes, photography, copy, and code — is the property of Kingdom 24 Private Limited or its licensors and is protected under Indian copyright and trademark laws. No part may be reproduced, distributed, or used for commercial purposes without our written permission. Limited fair use for product reviews and recipe sharing is welcome with attribution.

11. Acceptable Use

You agree not to:

  • Reverse-engineer, scrape, or systematically download large portions of the Website except as permitted by robots.txt.
  • Use the Website to upload viruses, attempt unauthorised access, or disrupt service.
  • Resell our products under a misleading brand or impersonate Kingdom Foods.
  • Use Kingdom Foods marks in advertising without prior written consent.

12. Confidentiality

Quotations, rate cards and credit terms shared with you are confidential business information of Kingdom Foods. You agree not to disclose them to competitors or unrelated third parties without consent.

13. Force Majeure

Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including: natural disasters, pandemics, acts of war or terrorism, government action, industrial disputes, supply-chain disruptions, cold-chain equipment failure at courier or partner premises, fuel shortages, or interruption of utilities.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Kingdom Foods' aggregate liability under or in connection with any order shall not exceed the value of the specific order giving rise to the claim. We shall not be liable for any indirect, special, consequential, incidental or punitive damages, including loss of profits or business opportunity.

15. Indemnity

You agree to indemnify and hold harmless Kingdom Foods, its directors, officers and employees from any claims, damages or expenses arising from (a) your breach of these Terms, (b) misuse of our products contrary to instructions, (c) your violation of applicable laws or third-party rights.

16. Termination

We may suspend or terminate your account / supply relationship with notice if you breach these Terms, fail to pay invoices on the agreed terms, or engage in conduct that we reasonably consider harmful to our business. Termination does not affect accrued rights or obligations including outstanding invoices.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be highlighted on the Website. Continued use of the Website / continued ordering after the "Last updated" date constitutes acceptance of the revised Terms.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute, controversy or claim arising out of or relating to these Terms or any order shall be subject to the exclusive jurisdiction of the courts at Noida, District Gautam Budh Nagar, Uttar Pradesh. Parties agree to attempt good-faith resolution before initiating litigation.

19. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure to enforce any right under these Terms does not constitute a waiver of that right.
